Nexus Ingest Software Terms

These terms are between you and Nexus Products LLC ("Nexus," "we," or "us") and govern your installation and use of Nexus Ingest (the "Software"). By accepting the agreement, installing, or using the Software, you agree to these terms. If you use the Software for an organization, you represent that you have authority to accept these terms for it.
License and eligibility
Subject to these terms and payment of applicable fees, Nexus grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for lawful business or personal purposes. You must have legal authority to process every record you provide to the Software.
Trials and subscriptions
The Software may be offered with a limited free trial and recurring monthly or annual subscription through the Microsoft Store. The Store displays the current price, billing period, renewal terms, taxes, cancellation process, and refund rights before purchase. Trial conversion language and post-expiration behavior must match the final Store configuration before these terms are published.
Your data and responsibilities
You retain your ownership rights in source files. As between you and Nexus, and to the extent permitted by law, you own generated outputs, subject to third-party rights and applicable law. You represent that you have all rights, permissions, licenses, consents, and lawful authority needed to provide each input and direct its processing. You are responsible for lawful collection, use, retention, disclosure, export, and deletion of that information.
Outputs may not be unique and may resemble or reflect third-party material. You are responsible for determining whether attribution, permission, licensing, or other clearance is required before use.
Employer, client, and proprietary information
You are solely responsible for determining whether you are authorized to use the Software with employer, client, customer, vendor, or other third-party records or work product. Before providing workplace material to the Software, you must review and comply with applicable employer and organizational policies, confidentiality obligations, employment agreements, intellectual-property requirements, records-retention rules, data-classification standards, and legal or contractual restrictions.
Do not provide trade secrets, proprietary information, regulated data, export-controlled information, or other restricted material unless you have express authority to process it in this manner. Nexus does not authorize your access to or use of third-party information and, to the maximum extent permitted by law, is not responsible for your decision to process, retain, export, disclose, or otherwise use workplace or proprietary material in violation of an applicable duty or policy.
Local processing and optional sharing
The current Software processes source evidence and creates its workspace and export packages locally. It does not automatically upload source evidence to Nexus or a hosted AI provider. If you export or upload an output to another service, that service's terms and privacy practices apply.
The Software may create a separate privacy-filtered derivative of supported text files. Automated filtering can miss identifying information and does not guarantee anonymity, particularly where identity can be inferred from context. Binary documents and images are excluded from that derivative unless future format-aware review functionality expressly supports them. You remain responsible for reviewing and authorizing information before sharing it.
If you upload an export to an AI agent, cloud service, hiring platform, or another third party, you direct that transfer and are responsible for the recipient, transferred material, applicable terms, privacy practices, retention rules, acceptable-use requirements, and charges. Nexus does not control or endorse a third-party service merely because the Software prepares a compatible export.
The Software may prepare a contact-enrichment package containing personal and professional contact information for deliberate upload to an AI service you select. The package is not anonymous and may include names, email addresses, telephone numbers, employer and role information, general location fields, websites, social-profile URLs, and stable identifiers. You are responsible for authority to disclose that information, selecting included contacts, reviewing the package, and determining whether the receiving service may lawfully access and use proposed research sources. You must not direct a service to evade access restrictions, scrape contrary to applicable terms, or obtain private information without authorization.
Imported AI enrichment results are third-party suggestions, not verified facts. Software safeguards may reject results lacking high-confidence labels, recognized identifiers, current-value matches, valid source URLs, or supporting evidence, but cannot establish identity or truth. Imported changes may replace stored values, create a backup and audit record, and return affected contacts to review. You remain responsible for comparing each change with its cited source before approval or use.
Provider-neutral artifact-review packages and imported AI decisions remain subject to your review. Validation, confidence checks, source references, preview, confirmation, audit, and undo reduce operational risk but do not establish truth, attribution, ownership, completeness, confidentiality, or legal authority.
Human review and no professional advice
OCR, parsing, extraction, matching, inference, scoring, résumé generation, and AI-oriented outputs may be incomplete, inaccurate, misleading, or incorrect. Confidence scores are aids, not guarantees. All outputs require meaningful human oversight.
Before relying on, publishing, submitting, or sharing any output—including a résumé, cover letter, job application, professional profile, qualification statement, employment history, or supporting document—you must independently review it for accuracy, completeness, relevance, confidentiality, and suitability, correct any errors, and approve the final content. You are solely responsible for content you choose to submit to an employer, recruiter, hiring platform, customer, or other recipient and for any decision or representation made using the Software.
To the maximum extent permitted by law, Nexus is not responsible for losses, rejected applications, missed opportunities, inaccurate representations, disclosure of restricted information, or other consequences resulting from an output you submit or use without adequate review. The Software does not provide legal, employment, financial, records-management, cybersecurity, or other professional advice.
The Software does not guarantee complete evidence, successful extraction, compatibility with every source or applicant-tracking system, employability, interviews, job placement, credential recognition, or any other professional outcome. It is not designed to make high-impact employment decisions about another person and must not be the sole basis for such a decision.
Acceptable use
You may not use the Software to violate law; infringe privacy, confidentiality, intellectual-property, publicity, or contractual rights; misrepresent generated content as independently verified; evade access, licensing, or safety controls; distribute malware; unlawfully monitor or profile a person; or process records you are not authorized to access. You must comply with applicable export-control, sanctions, anti-corruption, employment, privacy, and records-management requirements.
Backups, previews, and availability
Preview, beta, trial, or experimental functionality may be incomplete, change without notice, contain additional errors, and be unsuitable for production or high-risk use. Maintain independent, tested backups of source data, workspace databases, license records, and important outputs. Nexus Ingest is not an archival, disaster-recovery, records-retention, legal-hold, or evidentiary-custody service.
User responsibility and indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Nexus Products LLC and its officers, members, employees, contractors, and licensors from third-party claims arising from unlawful or unauthorized inputs; violation of these terms; infringement, misappropriation, or disclosure of another person's rights or restricted information; or an output you publish, submit, or use without required review. This does not apply to the extent a claim is caused by Nexus's own unlawful conduct, gross negligence, or willful misconduct and does not limit non-waivable consumer rights.
Feedback and support materials
If you voluntarily provide suggestions or feedback, you permit Nexus to use it without restriction or compensation and without identifying you. Do not include mailbox content, personal information, trade secrets, credentials, or confidential material in feedback. Support materials you deliberately provide may be used only as reasonably necessary to provide support, investigate the issue, secure the Software, and improve reliability, subject to the Privacy Notice. You are responsible for authorization and appropriate redaction.
Third-party components
The Software may include components governed by separate notices and licenses supplied with the Software, including the Tesseract OCR engine under the Apache License 2.0. Those terms control for their components.
